Tallypad — Loans Between Friends
Last updated: September 2026
By downloading, installing, or using Tallypad (the “App”), you agree to these Terms of Use. If you do not agree, please do not use the App. These Terms are between you and Dual Node Labs LLC (“we”, “us”).
Tallypad is an app for keeping a personal, private record of informal loans between you and people you know. It stores what you lent and borrowed, what has been repaid, and the resulting balance with each person. These Terms cover both the iPhone and Android versions.
The App runs entirely on your device. It has no account system and no server component. On iPhone it can optionally synchronise your records between your own devices using your personal iCloud account. The Android version has no synchronisation at all.
Tallypad is a note-keeping tool. It is not a payment service, a lending platform, an escrow service, or a money transmitter. It does not move, hold, process, or settle money of any kind. Tapping “Settle up” records that a payment happened — it does not make one happen.
Entries you create in the App are your own private notes. They are not contracts, invoices, promissory notes, or legally binding records of debt, and we make no representation that they would be recognised as evidence of a debt in any jurisdiction. Any actual agreement or obligation exists solely between you and the other person.
Nothing in the App constitutes financial, accounting, tax, or legal advice. Balances, totals and summaries are arithmetic performed on figures you entered yourself. You are responsible for any decision you make on the basis of them, and for consulting a qualified professional where appropriate.
Where you record entries in more than one currency, the App deliberately keeps each currency separate and never converts between them. It does not retrieve or apply exchange rates. Figures shown in different currencies are not comparable to one another and must not be read as an aggregate total.
The App reflects only what you type into it. We do not verify the amounts, dates, names, notes or currencies you enter, and we cannot detect a mistyped figure or an entry you forgot to record. You are solely responsible for the accuracy and completeness of your records.
You agree to use the App only for lawful purposes and only for keeping records relating to you. You agree not to reverse engineer, decompile, or attempt to derive the source code of the App except to the extent that restriction is prohibited by applicable law.
You are responsible for the information you choose to record about other people, and for complying with any law that applies to you when you do so. Only record what is reasonable and lawful for your own purposes.
The App can generate a summary of one person’s balance and hand it to the iOS share sheet at your request. You decide whether to share and where to send it. Once shared, the content leaves the App and is subject to the terms and privacy policy of the service you send it through. You are responsible for what you share and with whom, including where a summary names another person.
Tallypad is currently free, with all features available and no in-app purchases. We may introduce paid features in a future version. We may also modify, suspend, or discontinue the App, or any feature of it, at any time without liability to you.
Your records are stored on your device, and in your own iCloud account if you enable sync. We hold no copy and therefore cannot recover your data under any circumstances — including device loss, device failure, accidental deletion, or uninstalling the App.
On Android, where there is no sync, the only copy of your ledger is the one on the device. Maintaining backups is your responsibility. Deleting an entry, a person, or the App itself is permanent as far as we are concerned. Where the App asks you to confirm a deletion, that confirmation is your only safeguard.
On iPhone, iCloud sync is optional and off by default. It relies on Apple’s CloudKit service and on your Apple Account, and is subject to Apple’s terms, availability and storage limits. We do not control that service and are not responsible for sync delays, conflicts, failures, or data loss arising from it. If sync is unavailable, the App continues to work and saves to your device alone.
The Android version has no synchronisation feature. Your ledger stays on the device you entered it on.
You should therefore expect that Tallypad on an iPhone and Tallypad on an Android device keep entirely separate records. Installing one does not give you access to data entered in the other, and we provide no means of transferring between them.
Tallypad requests no privacy-sensitive permissions on either platform. Receipt photos are chosen through the operating system’s own photo picker, which runs outside the App and provides only the image you select, so no photo library access is requested or granted. The App does not access your contacts, camera, location, microphone, or notifications. The Android version additionally requests no internet permission, and so cannot transmit anything at all.
The App, its design, and its content are owned by Dual Node Labs LLC and protected by copyright and other intellectual property laws. These Terms grant you a limited, personal, non-transferable, non-exclusive licence to use the App on Apple devices you own or control, in accordance with the App Store Terms of Service. The records you create remain yours.
THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the App will be uninterrupted, error-free, or that any calculation, record, or sync operation will be accurate or preserved.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DUAL NODE LABS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF DATA, LOSS OF MONEY, UNRECOVERED DEBT, OR DISPUTE WITH ANOTHER PERSON, ARISING OUT OF OR RELATING TO YOUR USE OF THE APP.
Our total aggregate liability arising out of or relating to these Terms or the App shall not exceed the greater of (a) the amount you paid us for the App in the twelve months preceding the claim, or (b) five US dollars (US$5.00).
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages, so some of the above may not apply to you.
Tallypad records one side of an arrangement: yours. We are not a party to any loan, repayment, or disagreement between you and anyone else, we take no position on who owes what, and we have no ability to verify, arbitrate, enforce, or intervene in any such matter.
You agree to indemnify and hold harmless Dual Node Labs LLC from any claim, demand, loss, or expense (including reasonable legal fees) arising out of your use of the App, your records, anything you share from the App, or your violation of these Terms or of any law or third-party right.
PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
Any dispute, claim, or controversy arising out of or relating to these Terms or your use of Tallypad that cannot be resolved informally shall be resolved by binding individual arbitration under the American Arbitration Association (AAA) Consumer Arbitration Rules, rather than in court. YOU AND DUAL NODE LABS EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN ANY CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE PROCEEDING.
Exceptions: Either party may bring an individual claim in small claims court if it qualifies. Nothing in this section prevents either party from seeking injunctive or other equitable relief in court to prevent imminent harm.
Opt-Out: You may opt out of arbitration by notifying us in writing at tallypad@dualnodelabs.com within 30 days of first accepting these Terms. Your opt-out notice must include your name and a clear statement that you wish to opt out of arbitration.
The App is distributed through the Apple App Store and Google Play. On iPhone, if you enable sync, it uses Apple’s iCloud and CloudKit services; your use of those is governed by Apple’s own terms and privacy policy. Apple is not responsible for the App and has no obligation to provide support for it, but is a third-party beneficiary of these Terms and may enforce them against you. Your use of Google Play is likewise governed by Google’s terms.
You may stop using the App at any time by deleting it. We may terminate or suspend your licence to use the App if you breach these Terms. Sections 10 and 14 through 18 survive any termination.
These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any dispute not subject to arbitration under Section 18 shall be resolved exclusively in the state or federal courts located in California, and you consent to personal jurisdiction in those courts.
If any provision of these Terms is held to be unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
We may update these Terms as the App changes. The “Last updated” date above will reflect any revision, and continuing to use the App after a change constitutes acceptance of it.
